Acceptance of Terms & Billing Conditions

By engaging our services, signing an agreement, or remitting payment, you (“Customer”) accept these Terms & Conditions (“Terms”). These Terms apply to all invoices and govern scope execution, billing, changes, and operational policies. Electronic communications (email, portal, invoices) constitute written notice for all contractual purposes.

• Payment Terms: Invoices are due by the date shown (typically within 5 days of issuance). Services may start immediately upon payment. Payments are non-refundable.
• Scope Adjustments: Out-of-scope work is billed at $280/hr in 15-minute increments, with Customer approval.
• Late/Delinquent Accounts: We may pause services for unpaid invoices, apply late fees/interest as permitted by law, and recover reasonable collection and attorney fees.

Recurring Services (Marketing, Licensing, Hosting, Support)

Our programs are recurring to compound results over time.

• Prepaid Monthly Subscriptions: Fees are billed in advance each month and are non-refundable once the cycle begins (resources are allocated Day 1).
• Cancellation: 30-day written notice required to cancel any recurring service. If notice is not provided, a cancellation fee may apply to cover committed resources.
• Suspension/Collections: Accounts 14+ days past due may be suspended; 30+ days may be sent to collections.

Hosting (If Applicable)

• Hosting: Hosting is a recurring service and non-refundable for past months.
• Cancellation: 30-day written notice or $1,250 early termination fee. Accounts 30+ days overdue may be suspended.
• Acceptable Use: Spam/misuse may result in immediate suspension/termination without refund.

Project Work (Software/Website Development)

• Estimates: Time/cost are estimates, not fixed bids. Overages require Customer approval; unapproved work may be paused.
• Payments: Deposits and progress billings are non-refundable; full invoice balances remain due if a project is cancelled or postponed.
• Ownership: We retain IP (including code/design) until paid in full; upon full payment, Customer owns the final deliverable subject to any third-party licenses.

Consulting, Research, Analysis, Setup, and Non-PPC Digital Advertising

• Non-Refundable: These services involve significant upfront work and are non-refundable.
• Advertising Approach: We focus on holistic digital marketing (content, funnels, PR, SEO). Traditional PPC budget management is not our primary service; upon request we can recommend PPC providers or offer limited PPC strategy packages that integrate with broader campaigns.

Credit Card Authorization & Disputes

• Authorization: By paying invoices, you authorize us to charge the provided payment method under your cardholder agreement.
• Contact Us First: For any billing concern, contact us directly before initiating a chargeback.
• Chargebacks: Filing a chargeback for a valid charge is a material breach. We may immediately suspend services, remove access to deliverables, and seek reimbursement of our losses. A $250 processing fee plus bank/network fees and any outstanding balances must be paid to resume services.
• Remedies: We may seek injunctive relief to prevent use of our work during disputes and pursue recovery of reasonable enforcement costs.

Intellectual Property & Documentation

• Our IP: All software, code (source/object), processes, strategies, creative, documentation, and know-how remain our exclusive property unless expressly transferred in writing.
• Deliverable License: Upon payment in full, Customer receives a limited, non-exclusive right to use the final deliverable for its internal business. No selling, sublicensing, renting, sharing, publishing, or derivative works without our written consent.
• Improvements/Derivatives: Any improvements or derivatives arising from our services remain owned by RocketCrew.ai; Customer agrees to assign any rights therein.

Third-Party Materials & Licensing

We integrate third-party platforms and software (e.g., WordPress®️, Shopify®️, WooCommerce®️, Google®️, Stripe®️, etc.). Customer is responsible for complying with applicable licenses. We are not liable for malfunctions or incompatibilities in third-party software.

Disclaimer of Warranties

Services and deliverables are provided “as is.” We disclaim all warranties—express, implied, or statutory—including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Some jurisdictions do not allow certain exclusions; where prohibited, the minimum legally permitted warranty applies.

Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, special, incidental, consequential, or punitive damages (including lost profits, revenue, data, or business interruption). Our aggregate liability for any claim related to the services is limited to the fees paid for the specific service giving rise to the claim. These limitations form an essential basis of our bargain.

Confidentiality

Both parties will protect the other’s non-public information (technical, business, strategic, customer, and financial). Unauthorized disclosure (including posting internal materials publicly) is a breach that may cause irreparable harm; we may seek injunctive relief and other remedies.

Dispute Resolution & Governing Law

We encourage amicable resolution and, failing that, arbitration under AAA rules in Washington State. The prevailing party may recover reasonable attorney fees. Washington law governs these Terms; venue for any permitted court action is Clark County, Washington.

Rankings & Industry Realities

While we apply industry-leading strategies, specific search rankings cannot be guaranteed due to factors beyond any provider’s control (algorithm changes, competitor actions, user behavior). We commit to best efforts and transparent reporting.

Changes to Terms

We may update these Terms at any time; updates are effective upon posting. Continued engagement after an update signifies acceptance. We recommend reviewing Terms periodically.
